1. Introduction
Welcome to Chatfire ("the Service"), operated by Chatfire ("Company", "we", "us", or "our"), available at https://chatfire.app. These Terms of Service ("Terms") govern your access to and use of the Chatfire platform, website, live chat widget, and Google Chat integration.
By accessing or using the Service, you ("you" or "Customer") agree to be bound by these Terms. If you do not agree to all the terms and conditions outlined here, you must not access or use the Service.
2. Use of the Service
2.1 Eligibility
You must be at least 18 years of age and possess the legal capacity to enter into binding contracts to use the Service. By using Chatfire, you represent and warrant that you meet these eligibility requirements.
2.2 License Grant
Subject to your compliance with these Terms, Chatfire grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and embed the chat widget on your authorized websites for your business or personal support purposes.
2.3 Restrictions
You agree not to:
- Modify, adapt, sublicense, translate, sell, reverse engineer, or decompile any portion of the Service.
- Remove, obscure, or alter any proprietary rights notices (including copyright or trademark notices) from the Service.
- Use the Service for any unlawful, harassing, malicious, fraudulent, or defamatory purpose.
- Interfere with, damage, or disrupt the operation, security, or networks connected to the Service.
- Attempt to gain unauthorized access to any accounts, systems, or data belonging to Chatfire or other users.
- Transmit any viruses, worms, malware, spyware, Trojan horses, or other harmful computer code.
- Use automated scripts or scrapers to abuse the Service beyond normal intended API usage.
3. Account Registration & Security
3.1 Account Creation
To use certain features of the Service, you must register for an account using your email address or supported passkeys. You are solely responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.
3.2 Accurate Information
You agree to provide accurate, current, and complete information during registration and keep your account information up to date. You agree to notify us immediately at support@chatfire.app if you discover any unauthorized use of your account or security breach.
4. Fees and Payment
4.1 Subscription Fees
The Service is offered on a subscription basis. You agree to pay the applicable subscription fees as specified on our website or in your subscription plan. Features, limits, and pricing are posted on our website and may be updated from time to time.
4.2 Payment Processing
We use third-party payment processors (such as Stripe) to process your payments. You agree to provide accurate and complete payment information and authorize us to charge your chosen payment method for the applicable fees.
4.3 Cancellation
You may manage or cancel your subscription at any time via your site settings or customer billing portal. Upon cancellation, your subscription will remain active until the end of the current billing cycle.
4.4 Fee Changes
We may change our subscription fees from time to time. We will provide you with reasonable notice of any fee changes before they take effect.
5. Intellectual Property and Content
5.1 Company Property
The Service, including its software, code, designs, graphics, branding, text, and documentation, is the proprietary property of Chatfire and its licensors, protected by United States and international copyright, trademark, and intellectual property laws.
5.2 Customer Data and Content
You retain all rights, title, and ownership in and to the messages, attachments, data, and content you or your visitors transmit through the Service ("Customer Content"). You grant Chatfire a limited license to store, process, and transmit Customer Content solely to provide and maintain the Service.
6. Termination
6.1 Termination by You
You may terminate your account or stop using the Service at any time through your account settings or by deleting your sites.
6.2 Termination or Suspension by Us
We may terminate or suspend your account or access to the Service immediately, without prior notice or liability, if you breach these Terms or engage in activities that cause harm to the Service, other users, or third parties.
6.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease, and access to your account data may be removed according to our data retention policies.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CHATFIRE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHATFIRE, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.
IN NO EVENT SHALL CHATFIRE'S TOTAL AGGREGATE LIABILITY FOR ALL DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE EXCEED THE AMOUNT YOU PAID TO CHATFIRE TO USE THE SERVICE DURING THE SIX (6) MONTHS PRIOR TO THE DATE THE CAUSE OF ACTION AROSE.
9. Indemnification
You agree to defend, indemnify, and hold harmless Chatfire, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your misuse of the Service, or your Customer Content.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wyoming, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.
11. Changes to These Terms
We reserve the right to revise or modify these Terms at any time at our sole discretion. If we make material changes, we will post the updated Terms on this page with a revised "Last Updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
12. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Chatfire regarding your use of the Service and supersede any prior agreements or understandings between you and Chatfire.
